Subject to your observance of the terms of this Agreement, Vision Templates permits you, your church, your organisation and your employer/client (if you are licensing on behalf of your client), a non-exclusive, non-sublicensable, non-transferable entitlement to use, without payment of additional royalties and fees, the design template you have selected (the "Product") for you or your customers or direct clients, for use on a worldwide and continual basis to produce derivative works for the following purposes:

1.A - Promotional and advertising materials;
1.B - Internal promotions and print publications
1.C - Public Print publications;
1.D - Other uses permitted by Vision Templates in writing.

The only permission granted to you in this agreement, is the entitlement to use Vision Templates Products in accordance with this Agreement. All rights not expressly permitted to you in this Agreement are specifically reserved to Vision Templates.

Your entitlement to use Vision Templates Product(s) are limited on the following basis, in addition to any other restrictions provided in this Agreement or by law:

Vision Templates Product(s) are licensed with no rights protection on a non-exclusive basis. Vision Templates provides no rights or warranties regard to the use of names, trademarks, registered or copyrighted designs, elements or works of art depicted or contained in any image in any Product, and you must satisfy yourself that all the necessary rights or consents, as may be required for your use of Product(s), are obtained. The images and graphics contained in our Products may only be used by you in connection with our Products and for no other purpose. You are permitted to make available our design templates, as customised by you, to your client or commercial printer with the source files as long as the client or commercial printer does not create alternative designs or products from those files. The use of Vision Templates Products in a way not specifically authorised by this Agreement will constitute an infringement of our and our third party licensors' proprietary rights and will subject you to infringement damages. The Use of Vision Templates Products in a way that contravenes a restriction written in this Agreement is not permitted.

At no time are you permitted to place any of Vision Templates Products or part thereof on any electronic bulletin board, place any Product or portion thereof on-line or in a downloadable format, or use, or allow anyone else to use, any Product or part thereof to create pornographic, libellous, obscene or defamatory material.

The Design Templates are copyrighted and protected under various laws of the United Kingdom, International treaties and other applicable laws. The ownership and copyright shall remain the sole and exclusive property of Vision Templates. At no time will the ownership or copyright of any Vision Templates Products, or in any image contained in any Product, shall pass to you. Under this agreement it is your responsibility to maintain the copyright protection for any Product you download from this website. Such copyright shall be immediately assigned to Vision Templates upon request. The use of any of our products or parts thereof without agreeing to this License Agreement, or a breach of these License Agreement terms, is copyright infringement.

Vision Templates guarantees the electronic copy of the Products(s) downloaded by you to be free from defects in workmanship and material for 14 days from date of download. Vision Templates complete liability and sole exclusive remedy, with respect to any claims arising out of this Agreement, except as set out in Section 6 below, shall be at Vision Templates sole discretion, either: the replacement of the digital copy of the Product or refund of the license fee paid by you, at Vision Templates sole discretion. Vision Templates makes no other warranty, express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. neither vision templates nor Vision Templates third party representatives shall be liable to you or any other person or entity for any general, special, direct, indirect, consequential, incidental, lost profits or other damages arising out of this license or otherwise. If for any reason Vision Templates is liable to you or your church or organisation or employer, then Vision Templates' liability to you will be limited to the sum invoiced and paid by you for the use of the particular Product involved.

You agree to indemnify and maintain Vision Templates, employees, directors, officers, affiliates and anyone else associated with Vision Templates, harmless from, and against, any and all claims, liabilities, costs, damages, or expenses, (including Legal fees) asserted against Vision Templates arising out of your use of our products or parts thereof or in connection with any breach of any of the terms of this Agreement.

6.1 You are not under eighteen years of age and have the full right and permission to enter into this agreement on behalf of you and/or your church, organisation or employer/client.

6.2 You do not live in any country to which export of UK products are prohibited or restricted and you may not ship, transfer or export any of the Products into any country or use any of the Products or parts thereof in any manner prohibited by any laws, restrictions or regulations;

6.3 You agree not use the Products or parts thereof in any way that is not permitted by this License;

6.4 You agree that the use of the products will not violate any applicable law or regulation of any country, state, or other governmental entity;

6.5 The information that you provide to Vision Templates is accurate and true, including, without limitation, all credit card or other payment information and you shall update such information as necessary;

6.6 You agree that you are solely responsible for determining whether your use of any of our Products requires the consent of any other party or the license of any additional rights. If you are unsure whether additional rights are needed for your use of our products , you are responsible for consulting with competent legal counsel; and

6.7 If you are acting on behalf of a church, organisation, company or client, you must inform them of the terms of this Agreement.

Full payment must be made before the use of any Products be permitted. If you use Any of Vision Templates Products prior to payment, it will constitute an infringement of Vision Templates proprietary rights and a breach of this Agreement which entitles Vision Templates to cancel this Agreement and seek damages from you, your church, organisation or employer as may be appropriate.

You agree to pay and be solely responsible for any and all value added taxes and duties imposed by any jurisdiction as a result of the license permitted to you, or your use of the Products, pursuant to this Agreement.

The license afforded to you with respect to any one of our Products may not be assigned to another. It is assigned to you, your church, organisation or employer alone.

The provisions of Sections 3 and 4 of this Agreement, and such other provisions which by their nature continue after termination, shall survive termination of this Agreement.

No variation of any terms and conditions within this agreement shall be allowed, other than an expressly written and signed agreement in writing by Vision Templates and you. No employee of Vision Templates is authorised to make an oral waiver. In the event that Vision Templates waives in writing a specific part of the Agreement, it does not mean that Vision Templates waives any other clause of the agreement. In the event that any particular clause be found unenforceable, it will not effect the effectiveness of any other clause in this agreement, which will remain in force.

No variation of any of the terms in this Agreement shall be permitted unless agreed in writing by Vision Templates and you.
